The Distributor and Pay Television Service entered a Television Licensing Agreement covering theatrical releases between 2005 and 2013; a 2009 agreement was extended to cover releases between 2014 and 2016.

However, the agreement detailed in the Report amends former agreements to include a Term that started January 1, 2013 and ended December 31, 2021.

During the First License Period, the Pay Television Service will have the exclusive right to exhibit each Picture for 18 months commencing on its Availability Date.

The Pay Television Service shall have the exclusive right to exhibit each Picture for three hundred (300) Exhibitions on up to 10 channels of the Pay Television Service during the First License Period.

The Per Picture License Fee is calculated from the percentage of the incremental U.S. theatrical Film Rentals at each level in the applicable rate card.

Because “Most-Favored-Nation” (MFN) rate provisions are still widely enforced, the rate cards included in this Report can apply to a diverse range of motion pictures made available by many distributors to most pay television services.
